Welcome to Cheezario. These Terms and Conditions ("Terms") govern your use of the Cheezario website, mobile application, and services (collectively, the "Services"), operated by Cheezario Inc.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to all the terms and conditions, then you may not access or use our Services.

2. Definitions

Throughout these Terms, the following definitions apply:

  • "Cheezario," "we," "us," or "our" refers to Cheezario Inc., a company registered in Canada.

  • "Services" refers to the Cheezario website, mobile application, and related services.

Delivery times are estimates only and are not guaranteed. We will make reasonable efforts to deliver your order within the estimated timeframe. However, factors outside our control (such as traffic, weather conditions, etc.) may affect delivery times.

You are responsible for providing accurate delivery information. If you provide incorrect or incomplete delivery information, we may not be able to deliver your order, and you may still be charged.

4.4 Cancellations

Once an order has been placed, it may not be possible to cancel or modify it, especially if it has already been prepared. Please contact our customer service immediately if you need to request a cancellation or modification.

5. User Conduct

Our Services may allow you to post, submit, or transmit content, such as reviews, comments, and feedback ("User Content"). By submitting User Content, you:

  • Acknowledge that we have the right (but not the obligation) to monitor, edit, or remove any User Content

We are not responsible for any User Content posted by you or any other user and do not endorse any opinions expressed in User Content.

7.1 Our Intellectual Property

Our Services and their contents, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are owned by Cheezario or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not use, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials
  • You may store files that are automatically cached by your web browser for display enhancement purposes
  • You may print or download one copy of a reasonable number of pages of the website for your own personal, non-commercial use and not for further reproduction, publication, or distribution

7.2 Trademarks

The Cheezario name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Cheezario or its affiliates. You may not use such marks without the prior written permission of Cheezario.

Our Services may contain links to third-party websites, services, or content that are not owned or controlled by Cheezario. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Cheezario shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT:

  • OUR SERVICES WILL BE AVAILABLE AT ALL TIMES, UNINTERRUPTED, OR ERROR-FREE
  • DEFECTS WILL BE CORRECTED
  • OUR SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS

INFORMATION ABOUT FOOD PRODUCTS, INCLUDING NUTRITIONAL INFORMATION AND ALLERGEN WARNINGS, IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY. WHILE WE STRIVE FOR ACCURACY, WE CANNOT GUARANTEE THAT SUCH INFORMATION IS COMPLETE OR UP-TO-DATE. IF YOU HAVE SPECIFIC DIETARY REQUIREMENTS OR ALLERGIES, PLEASE CONTACT US DIRECTLY BEFORE PLACING YOUR ORDER.

10. Limitation of Liability

  • ANY CONTENT OBTAINED FROM OUR SERVICES
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO CHEEZARIO FOR THE APPLICABLE ORDER GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Cheezario, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our Services.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of our Services shall be submitted to the exclusive jurisdiction of the courts in Toronto, Ontario, Canada.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on this page with an updated effective date. Your continued use of our Services after such changes constitutes your acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and Cheezario regarding our Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning their subject matter.
